These terms and your use of the site are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. You and Kumio agree that the state and federal courts located in Delaware have exclusive jurisdiction over disputes arising out of or relating to these terms or the site, and each party consents to that jurisdiction and venue.

Who may use the site. The site is intended for business audiences and for individuals aged 18 or over who have the capacity to enter into these terms.

Severability. If a provision of these terms is found unenforceable, the remaining provisions stay in effect, and the unenforceable provision applies to the greatest extent permitted.

No waiver. If we do not enforce a provision on one occasion, we retain the right to enforce it later.

Assignment. You may not assign these terms without our written consent. We may assign them in connection with a financing, merger, acquisition, or sale of assets.

Entire agreement. These terms, together with our Privacy Policy, form the agreement between you and Kumio regarding the site, and they supersede prior understandings on that subject. Separate written agreements govern our platform and other commercial relationships.
